Natural Person Accreditation

Investor had income exceeding US$200,000 individually or exceeding US$300,000 jointly with his/her spouse or “spousal equivalent” (i.e. cohabitant in a relationship generally equivalent to that of a spouse) in each of the past two years & reasonably expects to reach the same this year;

Investor has a net worth (either alone or with a spouse or spousal equivalent) that exceeds US$1,000,000 (excluding the value of investor’s primary residence);

Investor holds in good standing US Financial Industry Regulatory Authority (“FINRA”) Series 7 (General Securities Representative), 65 (Investment Adviser Representative), or 82 (Private Securities Offerings Representative Licenses);

Investor will have US$1,000,000 or more of assets under management with the investment adviser after the investment;

Investor has a net worth of more than US$2,000,000 prior to the investment (excluding the value of his or her primary residence);

Investor owns US$5,000,000 or more in investments (including joint, community property or other shared ownership with his/her spouse);

Investor acting for his/her own account or the accounts of other qualified purchasers, and who in the aggregate owns and invests on a discretionary basis, not less than US$25,000,000 in investments;

Corporation, Foundation, Endowment, Company or LLC Accreditation

Investor is a corporation, limited liability company, limited partnership, Massachusetts or similar business trust, partnership or organization, nor formed for the specific purpose of acquiring an interest, with total assets in excess of US$5,000,000;

All of investor’s equity owners are accredited investors;

Investor will have US$1,000,000 or more of assets under management with the investment adviser after the investment;

Investor has a net worth of more than US$2,000,000 prior to the investment (excluding the value of his or her primary residence);

A family-owned company that owns not less than US$5,000,000 in investments and that is owned directly or indirectly by or for 2 or more natural persons who are related as siblings or spouse (including former spouses), or direct lineal descendants by birth or adoption, spouses of such persons, the estates of such persons, or foundations, charitable organizations, or trusts established by or for the benefit of such persons;

Family Offices Accreditation

Investor is a “family office,” as defined in Rule 202(a)(11)(G)-1 under the Advisers Act, that has at least US$5,000,000 in assets under management, was not formed for the specific purpose of acquiring the Interests, and whose prospective investments are directed by a person who possess knowledge and experience in financial and business matters such that the family office is able to evaluate the merits and risks of the prospective investment;

Investor is a “family client,” as defined in Rule 202(a)(11)(G)-1 under the Advisers Act, of a family office satisfying the requirements described in question (13) and whose prospective investment in the Partnership is directed by that family office;

Investor is (a) an investment adviser registered with the US Securities and Exchange Commission under Section 203 of the Advisers Act or under the laws of one or more US states, or (b) an exempt reporting adviser under Section 203(m) or Section 203(l) of the Advisers Act;

Trust, Bank, Savings and Loan (or similar institution) or Insurance Company Accreditation

Investor has total assets of more than $5 million & is directed by a sophisticated person;

Investor is a revocable trust which may be amended or revoked at any time & all of the grantors are accredited investors;

Investor is a bank as defined in Section 3(a)(2) of the U.S. Securities Act of 1933, as amended (the “Securities Act”), a savings & loan association, or other institution as defined in Section 3(a)(5)(A) of the Securities Act, & is acting in a fiduciary capacity on behalf of a trust account or accounts;

Investor is a bank as defined in the Securities Act, a savings and loan association, or other institution as defined in Section 3(a)(5)(A) of the Securities Act, and is acting in its individual capacity;

The Investor is an insurance company as defined in Section 2(a)(13) of the Securities Act;

A trust not formed for the specific purpose of acquiring the securities offered, as to which the trustee or other person authorized to make decisions with respect to the trust, and each settlor or other person who has contributed assets to the trust, is a qualified purchaser;

An individual or entity, acting for its own account or the accounts of other qualified purchasers, who in the aggregate owns and invests on a discretionary basis, not less than $25,000,000 in investments;
